Description

We are looking for a diligent and motivated Company Secretary Trainee to join our team. This position offers a unique opportunity to gain practical experience and insights into corporate secretarial functions.

Job Summary

The Company Secretary Trainee will work under the supervision of the legal and Finance head and assist in various tasks related to corporate governance, regulatory compliance, and secretarial duties. The trainee will gain hands-on experience in ensuring that the company adheres to legal and regulatory requirements while maintaining high standards of corporate governance.

Responsibilities

  • Assist in preparing and maintaining statutory books, including registers of members, directors, and secretaries.
  • Help in organizing and preparing agendas and papers for board meetings, committees, and annual general meetings (AGMs).
  • Draft and review minutes of meetings, ensuring accuracy and compliance with legal requirements.
  • Support the filing of necessary documents with regulatory bodies such as the Registrar of Companies.
  • Assist in the preparation and filing of annual returns and other statutory filings.
  • Aid in ensuring compliance with relevant laws and regulations, including the Companies Act.
  • Help in the drafting and reviewing of corporate governance policies and procedures.
  • Assist in communication with stakeholders, including shareholders and regulatory authorities.
  • Participate in the drafting and maintenance of corporate documents and records.
  • Provide administrative support to the finance head and other senior management as required.
  • Assist in drafting and reviewing contracts, agreements, and other legal documents to ensure they comply with applicable laws and regulations.
  • Conduct legal research and provide summaries of findings to support legal and compliance matters.
  • Help in managing and maintaining legal records and documentation.
  • Assist in handling legal correspondence and communications.

Requirements

  • Currently pursuing or recently completed a Company Secretary (CS) course from institute.
  • Strong understanding of corporate laws and regulations.
  • Excellent written and verbal communication skills.
  • High level of attention to detail and organizational skills.
  • Ability to handle sensitive and confidential information with discretion.
  • Proficiency in using Microsoft Office Suite (Word, Excel, PowerPoint).
  • Strong interpersonal skills and the ability to work effectively as part of a team.
